Notice of Proposed Amendments to SFBAC Chapter Bylaws

Dear Members,
The Board of Directors is proposing amendments to the SFBAC Chapter Bylaws to align with the November 2025 Model Bylaws issued by the Society and to clarify certain governance provisions.
In accordance with Article XII of our bylaws, this notice is being provided at least 30 days prior to the vote.
Summary of key updates:
- Alignment of nomination timeline
- Clarification of electronic participation language
- Adjustment to Board composition language
- Updates to committee governance language
- Alignment of officer election cycles

Voting Details:
- Voting will take place via electronic ballot
- Ballots will open May 1, 2026
- Ballots will close on May 8, 2026
Approval requires:
- Participation by at least 20 percent of members eligible to vote
- Majority approval of those voting

The model bylaws already reflect the January 1 fiscal year and should be adopted as
written.
2. Should we change the fiscal year language to match our current fiscal year?
No. Do not modify the fiscal year language during the transition period. The model bylaws should be adopted as written to avoid future amendments.
3. What if our chapter is already updating our bylaws?
If your chapter is currently revising bylaws:

Replace conflicting governance language with the model language
Proceed with a single member vote using the final aligned version

This prevents the need for multiple future amendments.
4. Do we need to wait until 2027 to adopt the new bylaws?
No. Chapters are encouraged to adopt now so governance structure and required language are already aligned before the fiscal year transition.
5. What is the adoption target date?
Chapters are asked to complete adoption by August 31, allowing adequate time for:
